TRAUMA-INFORMED LEADERSHIP INTENSIVE

PROGRAM TERMS AND CONDITIONS

Effective Date: January 15, 2026

These Program Terms and Conditions ("Terms") govern your enrollment in and participation in the Trauma-Informed Leadership Intensive (the "Program") offered by Cyndi Bennett Consulting, located in Charlotte, North Carolina ("We," "Us," "Our," or "Company").

"You" and "Your" refers to participants enrolled in the Program.

IMPORTANT NOTICE: These Terms are legally binding. By enrolling in the Program, you acknowledge that you have read, understood, and agree to be bound by these Terms. Your purchase and participation in the Program constitutes acceptance of these Terms.

1. PROGRAM ENROLLMENT AND ELIGIBILITY

1.1 Age Requirement

You must be at least 18 years of age to enroll in and participate in the Program. Enrollment by anyone under 18 is strictly prohibited and constitutes a violation of these Terms. We reserve the right to immediately terminate access if we discover a participant is under 18.

1.2 Participant Capacity

You represent that you are enrolling in the Program in your individual capacity as a leader or manager seeking professional development. This Program is educational coaching and leadership development, not therapy, medical treatment, or clinical mental health services.

1.3 Enrollment Confirmation

Upon enrollment, you will receive confirmation of your acceptance into the Program cohort, including:

  • Program start date and session schedule
  • Access credentials for the virtual platform
  • Pre-program materials and assessments
  • Technical requirements and preparation instructions

1.4 Limited Enrollment

Each cohort is limited to a maximum of 12 participants to ensure personalized attention and meaningful peer connections. Enrollment is on a first-come, first-served basis upon receipt of payment.

2. PROGRAM STRUCTURE AND PARTICIPATION REQUIREMENTS

2.1 Program Components

The 8-Week Trauma-Informed Leadership Intensive includes:

  • Eight (8) weekly 90-minute live virtual group sessions
  • Eight (8) weekly individual coaching calls (30 minutes each)
  • Pre-program assessment call (45 minutes)
  • Peer partnership assignments and activities
  • Digital workbook and resource materials
  • 30-day post-program group check-in session
  • 90-day individual follow-up coaching call
  • Access to private peer support network

2.2 Attendance Expectations

While we understand that scheduling conflicts may occasionally arise, consistent attendance is essential for program success. You are expected to:

  • Attend all eight weekly group sessions live when possible
  • Complete all eight individual coaching calls as scheduled
  • Participate actively in peer partnership activities
  • Engage with program materials between sessions

Session recordings will be made available for review if you must miss a live session, but live attendance is strongly encouraged for optimal learning and community building.

2.3 Rescheduling Individual Coaching Calls

Individual coaching calls may be rescheduled with at least 24 hours advance notice. Calls cancelled with less than 24 hours notice or no-shows will be considered completed and cannot be rescheduled. You may reschedule up to two (2) coaching calls during the program period.

2.4 Technology Requirements

You are responsible for ensuring you have:

  • Reliable high-speed internet connection
  • Computer or tablet with functioning camera and microphone
  • Quiet, private space for participating in video calls
  • Updated web browser compatible with our virtual platform
  • Ability to download and access digital materials

We are not responsible for technical difficulties on your end that prevent participation. While we will make reasonable efforts to support you, some technological issues are outside our control and may require you to seek third-party technical support.

2.5 Time Zone Accommodations

Sessions are scheduled to accommodate participants across multiple time zones when feasible. All session times will be clearly communicated in your local time zone upon enrollment. It is your responsibility to attend sessions at the correct time.

3. INTELLECTUAL PROPERTY RIGHTS

3.1 Ownership

All Program materials, including but not limited to the following, are the exclusive property of Cyndi Bennett Consulting and are protected by copyright and intellectual property laws:

  • The "Trauma-Informed Leadership Intensive" program name and structure
  • The "4 Capacities Framework" (Recognize, Regulate, Resource, Redesign)
  • All teaching content, presentations, and frameworks
  • Digital workbook (100+ pages) and all worksheets
  • Assessment tools and evaluation instruments
  • Video recordings of group and individual sessions
  • Resource libraries and curated materials
  • Practice guides and step-by-step processes
  • All graphics, logos, trademarks, and visual designs

3.2 Limited License Grant

Upon enrollment and payment, you receive a limited, non-transferable, non-exclusive, revocable license to:

  • Access Program materials for your personal leadership development use only
  • Download and print materials for your individual use in your professional role
  • View session recordings for your personal review and learning
  • Participate in peer support network during and after the program

3.3 Prohibited Uses

You may NOT:

  • Share, distribute, or provide access to Program materials to anyone who has not enrolled
  • Resell, trade, or transfer your enrollment or access to another person
  • Reproduce, republish, or distribute any Program materials in whole or in part
  • Use our frameworks, methodologies, or trademarked materials commercially without written permission
  • Record, screenshot, or capture Program sessions without explicit permission
  • Teach, train, or coach others using our proprietary frameworks or materials
  • Modify or create derivative works based on Program content
  • Remove copyright notices, trademarks, or attribution from any materials
  • Share login credentials or access codes with anyone else

3.4 Team Member Access

If additional members of your team or organization wish to access the Program, each person must purchase their own individual enrollment at the full program price. One enrollment covers one participant only.

3.5 Request for Commercial Use

If you wish to use any Program content, frameworks, or materials for commercial purposes (including but not limited to training others, consulting engagements, or creating derivative works), you must request written permission in advance by emailing us at [email protected]. Commercial licensing is available under separate agreement.

3.6 Enforcement

Unauthorized use, reproduction, or distribution of Program materials constitutes theft and infringement of intellectual property rights. We reserve the right to:

  • Immediately terminate your access to the Program
  • Pursue civil remedies including monetary damages
  • Seek injunctive relief to stop unauthorized use
  • Report violations to appropriate authorities

You explicitly consent to personal jurisdiction in Charlotte, North Carolina for any legal proceedings related to intellectual property violations.

4. PARTICIPANT CONDUCT AND COMMUNITY STANDARDS

4.1 Professional Conduct

All participants are expected to engage with professionalism, respect, and integrity. This includes:

  • Treating facilitators, coaches, and fellow participants with respect
  • Honoring confidentiality agreements (see Section 4.2)
  • Participating authentically and constructively
  • Refraining from discriminatory, harassing, or abusive behavior
  • Supporting the learning and growth of all cohort members

4.2 Confidentiality and Privacy

Group Session Confidentiality: What is shared in group sessions stays in group sessions. You agree not to share specific personal information, stories, or identifying details about other participants outside the Program without their explicit permission.

Individual Coaching Privacy: Your individual coaching sessions are private between you and your coach, except where:

  • You provide explicit permission to share information
  • Required by law or professional ethics
  • De-identified examples are used for educational or marketing purposes

You Have No Expectation of Complete Confidentiality: By participating in the Program, you acknowledge that:

  • Group sessions involve multiple participants who hear your contributions
  • We may use de-identified examples from the Program in future training or marketing
  • Testimonials and success stories may be requested and shared with your permission

4.3 User-Generated Content

By submitting comments, participating in discussions, sharing in group sessions, or contributing to the peer support network, you grant us a non-exclusive, royalty-free, perpetual license to use your contributions in the following ways:

  • As examples in future Program cohorts (de-identified unless you give permission)
  • In marketing materials as testimonials (with your explicit permission only)
  • For program improvement and research purposes

4.4 Testimonials and Reviews

We may request that you provide a testimonial or review of the Program. If you choose to do so, you agree that:

  • Your testimonial is based on your genuine experience in the Program
  • You will not make false, misleading, or exaggerated claims
  • We may use your testimonial in marketing materials with your permission
  • You grant us a perpetual license to use approved testimonials

We reserve the right to accept or reject testimonials at our discretion.

4.5 Removal from Program

We reserve the right to remove any participant from the Program immediately and without refund if:

  • You violate these Terms or community standards
  • You engage in disruptive, abusive, or harmful behavior
  • You share Program materials in violation of intellectual property terms
  • You pose a risk to the safety or wellbeing of other participants
  • You misrepresent yourself or your intentions in enrolling

5. PAYMENT TERMS

5.1 Program Investment

The total investment for the Trauma-Informed Leadership Intensive is $3,497 USD. This includes all Program components as outlined in Section 2.1.

5.2 Payment Options

  • Payment in Full: Pay $3,497 at enrollment
  • Payment Plan: [If applicable, specify payment plan terms, schedule, and any additional fees]

5.3 Payment Processing

Payment is processed through secure third-party payment processors (such as Stripe or PayPal). By enrolling and providing payment information, you:

  • Authorize us to charge your chosen payment method for the full amount
  • Agree to the terms and conditions of your payment processor
  • Agree to provide current, accurate, and complete payment information
  • Agree to update payment information promptly if it changes

We do not store complete credit card numbers. All payment data security is governed by our payment processors' terms and policies.

5.4 Payment Plan Terms (If Applicable)

If you select a payment plan:

  • All payments must be received according to the agreed schedule
  • Missed or failed payments may result in suspension of Program access
  • You remain responsible for the full program amount regardless of your level of participation
  • Outstanding balances become immediately due if you are removed from the Program

5.5 Failed Payments

If a payment fails or is declined:

  • You will be notified via email
  • You have 5 business days to provide alternative payment
  • Access to Program sessions and materials may be suspended until payment is received
  • We reserve the right to terminate your enrollment after 10 days of non-payment

5.6 Currency and Taxes

All prices are in U.S. Dollars. Sales taxes will be applied as required by law based on your location.

5.7 Price Changes

We reserve the right to change Program pricing for future cohorts at any time. Your enrollment price is locked at the time of purchase and will not change.

5.8 Collections

If you have an outstanding balance that remains unpaid 14 days after the due date, we reserve the right to:

  • Send the account to a collections agency
  • Report the debt to credit bureaus
  • Pursue legal action to collect the debt

You agree to be responsible for all collection costs, including reasonable attorney fees and court costs.

6. REFUND AND CANCELLATION POLICY

6.1 No Refund Policy

Due to the intensive, personalized nature of this coaching program and the immediate access to proprietary materials upon enrollment, all sales are final. No refunds will be provided after enrollment for any reason, including but not limited to:

  • Change of mind or circumstances
  • Inability to attend sessions
  • Dissatisfaction with Program content
  • Technical difficulties on your end
  • Failure to complete the Program

6.2 Pre-Program Cancellation

If you cancel your enrollment before the Program start date and before accessing any Program materials:

  • Cancellation 30+ days before start: Full refund minus $250 administrative fee
  • Cancellation 15-29 days before start: 50% refund
  • Cancellation 14 days or less before start: No refund

6.3 Our Right to Cancel

We reserve the right to cancel a cohort if:

  • Minimum enrollment is not met
  • Unforeseen circumstances prevent Program delivery
  • Technical issues make delivery impossible

If we cancel, you will receive a full refund or the option to transfer to the next available cohort.

6.4 Chargebacks

You agree to contact us directly to resolve any payment disputes before initiating a chargeback with your financial institution. If you initiate a chargeback:

  • Your access to all Program materials and sessions will be immediately terminated
  • You forfeit access to all bonuses, resources, and peer network
  • We reserve the right to provide evidence of your access and agreement to these Terms to your financial institution
  • You will be permanently banned from future Programs

7. DISCLAIMERS AND LIMITATIONS OF LIABILITY

7.1 Educational Program Disclaimer

The Trauma-Informed Leadership Intensive is an educational coaching and professional development program. It is NOT:

  • Therapy, counseling, or mental health treatment
  • Medical advice or treatment
  • Legal advice
  • Guaranteed to produce specific results

If you are currently experiencing mental health challenges, we strongly encourage you to work with a licensed mental health professional in addition to participating in this leadership development program.

7.2 No Guaranteed Outcomes

While we are committed to providing a high-quality, transformative learning experience, we make no guarantees regarding:

  • Specific improvements in your leadership effectiveness
  • Changes in your team's performance or culture
  • Resolution of workplace conflicts or challenges
  • Your ability to implement trauma-informed practices
  • Career advancement or professional recognition

Individual outcomes depend on many factors outside our control, including your commitment, your organizational context, and your team's unique circumstances.

7.3 Participant Responsibility

You acknowledge and agree that:

  • You are responsible for your own self-care during and after the Program
  • You should maintain appropriate support systems (therapy, coaching, supervision)
  • You will apply learnings in accordance with your professional judgment
  • You will seek appropriate professional consultation for complex situations
  • You are responsible for determining what is appropriate for your specific context

7.4 Not a Substitute for Professional Services

This Program does not replace:

  • Mental health therapy or treatment
  • Clinical supervision
  • Legal counsel
  • HR professional guidance
  • Organizational development consulting

If you need these services, please seek appropriately licensed and credentialed professionals.

7.5 Third-Party Disclaimer

We are not liable for:

  • Actions or conduct of other Program participants
  • Content shared by participants in group sessions or peer networks
  • Outcomes that result from implementing learnings in your workplace
  • Technical failures of third-party platforms (Zoom, email providers, etc.)
  • Advice or information shared between peer partners

7.6 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CYNDI BENNETT CONSULTING AND ITS AFFILIATES, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM:

  • Your participation in or inability to participate in the Program
  • Use or inability to use Program materials
  • Technical failures or interruptions
  • Errors or omissions in Program content
  • Actions taken based on Program learnings
  • Interactions with other participants
  • Any other matter relating to the Program

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THE PROGRAM SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PROGRAM.

7.7 Warranties Disclaimer

THE PROGRAM AND ALL MATERIALS ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Program will meet your specific needs
  • Program delivery will be uninterrupted or error-free
  • Materials are completely accurate or current
  • Technical platforms will function perfectly at all times

7.8 Technology Disclaimer

We make reasonable efforts to provide reliable technology platforms for Program delivery. However:

  • We are not responsible for technical failures beyond our control
  • You are responsible for your own internet connection and equipment
  • Third-party platform outages (Zoom, email, etc.) are outside our control
  • We will make reasonable efforts to reschedule or provide alternatives for technical issues

8. CERTIFICATION AND CONTINUING EDUCATION

8.1 Certificate of Completion

Participants who complete the following requirements will receive a digital Certificate of Completion in Trauma-Informed Leadership:

  • Attend at least 7 of 8 live group sessions (or view recordings within 48 hours)
  • Complete all 8 individual coaching calls
  • Complete all assigned assessments and reflections
  • Participate constructively in peer partnerships

8.2 Certificate Use

The Certificate of Completion:

  • Recognizes your participation in and completion of the Program
  • Does not certify you as a trauma-informed leadership trainer or expert
  • Does not qualify you to teach our proprietary frameworks commercially
  • May be listed on your resume or professional profiles as professional development

8.3 Continuing Education Credits

Where applicable, we will provide documentation of hours completed for continuing education credit applications. However:

  • We do not guarantee acceptance by any specific credentialing body
  • You are responsible for submitting documentation to appropriate organizations
  • Requirements vary by profession and jurisdiction

8.4 Withholding Certification

We reserve the right to withhold certification if:

  • Participation requirements are not met
  • You violate these Terms or community standards
  • Outstanding payment balances remain unpaid

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Cyndi Bennett Consulting, its owner, employees, contractors, affiliates, and partners from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from:

  • Your violation of these Terms
  • Your use or misuse of Program materials
  • Your implementation of Program learnings in your workplace
  • Content you submit or share in the Program
  • Your violation of any third-party rights
  • Your violation of any applicable laws or regulations

10. DISPUTE RESOLUTION

10.1 Good Faith Negotiation

If any dispute arises between you and Cyndi Bennett Consulting, both parties agree to first attempt to resolve the matter through good-faith direct communication via email.

10.2 Mediation Requirement

If direct negotiation does not resolve the dispute within 30 days, both parties agree to participate in mediation before filing any legal action. Mediation costs will be shared equally unless otherwise agreed.

10.3 Jurisdiction and Governing Law

These Terms are governed by the laws of the State of North Carolina and the United States, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Mecklenburg County, North Carolina for resolution of any disputes.

10.4 Non-Disparagement

You agree not to make false, misleading, or defamatory statements about Cyndi Bennett Consulting, the Program, or related services in any public forum, including but not limited to social media, review sites, or professional networks. This does not prevent you from:

  • Providing honest feedback directly to us
  • Sharing truthful experiences in appropriate professional contexts
  • Exercising your legal rights

If you are found to be engaging in disparagement that materially harms our business, we reserve the right to:

  • Terminate your access to the Program and all related materials
  • Pursue legal remedies including injunctive relief and damages

11. GENERAL PROVISIONS

11.1 Entire Agreement

These Terms, together with our website Terms of Use and Privacy Policy, constitute the entire agreement between you and Cyndi Bennett Consulting regarding the Program and supersede all prior agreements or understandings.

11.2 Amendments

We reserve the right to update or modify these Terms at any time. Changes will apply to future cohorts but will not affect your enrollment if you have already paid. Material changes will be communicated to current participants via email.

11.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect.

11.4 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

11.5 Assignment

You may not assign or transfer your enrollment or these Terms to any other person. We may assign our rights and obligations under these Terms without restriction.

11.6 Communication

By enrolling in the Program, you consent to receive communications from us via email regarding:

  • Program logistics and scheduling
  • Access to materials and sessions
  • Payment reminders and receipts
  • Program updates and announcements
  • Post-program follow-up and opportunities

You may opt out of marketing communications but cannot opt out of essential Program communications.

11.7 Headings

Section headings in these Terms are for convenience only and do not affect interpretation.

12. ACKNOWLEDGMENT AND CONSENT

By enrolling in the Trauma-Informed Leadership Intensive, you acknowledge that:

✓ You understand this is an educational program, not therapy or medical treatment
✓ You are responsible for your own wellbeing and self-care
✓ You understand no specific outcomes are guaranteed

✓ You understand the refund policy and agree to payment terms
✓ You have the authority to enter into this agreement
✓ All information you provided during enrollment is accurate
